thats what accountants and lawyers are for and you would only be able to own as a foriegner 49 % of company (unless you are american) and 51 % of shares have to be in Thai person names I dont think majority share holders would have any issues

Yes on a previous posts (there is loads if you search) some said they just used the landing thing as proof of being in Hong Kong

Well you cant work without a work permit and you cannot get that on a retirement visa.
