Looking for a legal firm that specialises in moving companies from country of origin to Thailand. (I would close the company in country of origin. Legal firm would open the company in Thailand. Help set up bank accounts. Issue share certificates. Submit Accounting & company monthly & annual submissions.) Scope of business is passive income from software not dealing with any clients in Thailand. I would like to know if this qualifies us for business visas. 100% owned by foreigner. Happy to pay company & personal tax in Thailand.

TLDR : Answer Summary
The post seeks guidance on setting up a company in Thailand as a foreigner, wanting to transition operations from their country of origin and inquire about qualifying for a business visa. The comments highlight regulations limiting foreign ownership of companies in Thailand to 49%, the need for Thai national partners, requirements for accounting and tax submissions, and the suggestion to explore alternative countries or visa options for easier incorporation.
Honestly not worth it, if you are getting passive income from software, why not open one in like the UAE or i believe Taiwan? The amount of money you will need to pay for everything you are wanting here will be insane then add on the tax from this passive income to this Thai business, then hiring 4 thais, then needing to find a thai partner because you can only own 49% of a business, then tack on the cost of a business visa, accounting fees every year the list goes on. Also the standard CIT here is around 20% then if you are taking a salary that can sky rocket depending on how much you are taking out.
As others mentioned why not just keep the business where it is an just get a DTV visa and live here? Or as i said above look at other countries that are a bit more chill on businesses.
Lol. Not a chance you can own 100% of a Thai company. You are limited to 49% so need to find some Thai partners (not just nominees) to own the other 51%. Then you also need to employ 4 Thai workers for every work permit. Why not leave your company where it is and apply for a workation DTV if you want to come to Thailand
